Administrations – giving notice of intention to appoint to the company

Just a quick reminder of a small technical point, but one that has caused at least one administration to be treated as invalid by a Court. Where the appointment is being made by the directors under paragraph 22 of Schedule B1, and circumstances are such that notice of intention to appoint an administrator has to be given, you must remember to give notice to the company as required by rule 2.20(2). This must be done using Form 2.8B and be accompanied by a record of the directors’ decision to appoint.
